Terms of Service

Preamble

SaveLife.AI has designed and developed software for digital solutions for the healthcare industry (hereinafter referred to as the “Solution”). The Solution is in the form of a web extension or application that includes artificial intelligence functionalities and is described in the Documentation made available to the Client.

The Solutions are intended to be used either on a standalone basis or embedded in web solutions of and/or third-party applications used by the Client.

Definitions

Configuration

The set of information technology equipment on which the Solution is implemented and operated.

Activation Date

The date on which the Client or a User downloads the Solution on one of its devices by choosing a Subscription Package.

Documentation

All standard documents relating to the Solution produced by SaveLife.AI and made available to the Client.

Subscription Package

The subscription package chosen by the Client, which may specify the list of Modules included in the user license, the maximum volume of data, and the agreed prices.

Confidential Information

Information, documents, expertise, business secrets and methodologies communicated by each Party to the other within the framework of the present contract.

Solution

The solution developed by SaveLife.AI, which comes in the form of a web extension or application, including Minor Evolutions and New Versions without Major Evolutions.

User

The Client's staff (inclusive of colleagues, employees, contractors, etc.) authorized to use the Solution under the Contract.

Contractual Documents

The Contract is made up of the following Contractual Documents presented in hierarchical order of decreasing legal value:

1. The Special Conditions if there are some agreed upon by the Parties.
2. These General Terms and Conditions of Sale and Use (the “GTC”)
3. Its annexes when applicable

The Contract may also be complemented by a Business Associate Agreement, as may be required by applicable regulations.

Subject

The purpose of these GTC is to define the terms and conditions applicable to the personal, non-exclusive license to use the Solution granted by SaveLife.AI under the Contract.

Entry into Force & Duration

The Contract shall come into force on the date of its signature by the Parties or at the time of subscription.

For paid Subscription Packages, it is concluded for an initial period of one (1) month. At the end of this initial period and unless terminated by the Client by sending notice with one (1) month's advance, the Contract will be renewed by tacit renewal for successive periods of one (1) month.

Financial Conditions

6.1 Remuneration

SaveLife.AI's remuneration is defined in the Subscription Package as published on the SaveLife.AI website. It consists of a monthly fee that includes the provision of the License to use the Solution.

6.2 Invoicing & Payment

The monthly fee is invoiced due and payable within 30 days of the invoice date by credit card, direct debit, or wire transfer. Prices are in Dollars and do not include VAT.

6.3 Late Payment Interest

Failure to pay on the due date will automatically lead to the invoicing of interest equal to three times the legal interest rate, in addition to a fixed indemnity of fifty dollars ($50).

6.4 Price Revision

SaveLife.AI reserves the right to change all or part of the price components during the contractual relationship. New pricing shall be notified to the Client and apply as of the calendar month following the notification.

Warning

Prior to entering into the Contract, the Client is informed that they must obtain all necessary advice and ensure that the Solution meets their needs and intended use. SaveLife.AI assumes no responsibility for any error of choice or assessment by the Client or for the unsuitability of the Solution.

Scope of Rights Granted

SaveLife.AI grants the Client a license to use the Solution in accordance with its purpose and scope described in the Subscription Package. The right to use is a general, non-exclusive, personal, non-assignable and non-transferable right valid for the duration of the Contract only.

This grant of rights does not entail the transfer of any intellectual property rights to the Client, as SaveLife.AI retains full and complete ownership of the Modules, the Solution, its Adaptations, the New Versions, and the Evolutions.

Guarantee of Peaceful Enjoyment

SaveLife.AI guarantees the Client against any claim brought by third parties on the grounds that all or part of the Solution constitutes counterfeiting of pre-existing intellectual or industrial property rights, provided that the Client promptly informs SaveLife.AI of any such claim.

Conditions of Provision of the Solution

SaveLife.AI will use all technical means necessary to ensure proper functioning of the Solution, enabling access and use 24 hours a day, 7 days a week, except in the event of force majeure or events beyond SaveLife.AI's control, and subject to maintenance operations.

SaveLife.AI may suspend all or part of the provision of the Solution in the event of misuse by a User or a demand from an administrative or judicial authority.

Obligations of the Client

The Client is expressly required to comply with applicable obligations including:

• Compliance with the Solution Configuration specifications
• Compliance with recommendations of local security authorities
• Use of a certified health data hosting service provider within the meaning of applicable healthcare data laws
• Ensuring compliance with all legal and regulatory constraints relating to health data

By using the Site, you represent and warrant that all registration information you submit is true, accurate, current, and complete, and that you are not under the age of 13.

Intellectual Property

SaveLife.AI remains the owner of all intellectual property rights relating to the Modules, the Solution, its Adaptations, trademarks, patents, names, acronyms, logos, colors, graphics, and other signs used by SaveLife.AI.

The Client is prohibited from using or exploiting SaveLife.AI's intellectual property rights for purposes other than the use of the Modules and the Solution without SaveLife.AI's authorization.

Termination

Either Party may terminate this Contract by electronic mail no later than one (1) month prior to the expiration date of the Initial Term or the Renewed Term.

In the event of a breach by either Party not remedied within thirty (30) calendar days from notification, the other Party may automatically terminate the Contract without prejudice to any damages.

Upon expiration or termination, the Client shall cease to use the Solution and shall have a period of 2 (two) days to remove the Solution from the Configuration. All sums still owed on the date of termination shall be due immediately.

Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

• Systematically retrieve data or other content from the Site to create or compile a collection, compilation, database, or directory without written permission
• Circumvent, disable, or otherwise interfere with security-related features of the Site
• Upload or transmit viruses, Trojan horses, or other harmful material
• Engage in any automated use of the system using scripts, bots, or data mining tools
• Attempt to impersonate another user or person
• Use the Site in a manner inconsistent with any applicable laws or regulations
• Share personal data or personal health conditions of other users
• Use the Site as part of any effort to compete with SaveLife.AI

Arbitration

Informal Negotiations

Both you and SaveLife.AI agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration.

Binding Arbitration

If the Parties are unable to resolve a dispute through informal negotiations, the dispute will be finally and exclusively resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”). The arbitration will take place in the United States, Texas.

Governing Law & Jurisdiction

The Contract is governed by the laws of the United States of America. For any dispute proceeding in court, jurisdiction is given to the courts located in Dallas County, Texas.
